Terms & Conditions

1. Who these terms apply to

SPION ("SPION", "we", "us", "our") is an event management and ticketing platform operated by Inclusion Software Solutions. These terms apply to everyone who uses SPION — event organizers who create and publish events ("Organizers"), and people who register for or buy tickets to those events ("Attendees"). By creating an account, publishing an event, or registering for one, you agree to these terms.

2. Accounts

Organizer accounts are created and accessed via a one-time password (OTP) sent to your email or phone — we don't use passwords. You're responsible for keeping access to that email or phone number secure, and for all activity under your account.

We may suspend or restrict an account that violates these terms, is used fraudulently, or is flagged for suspicious activity. Restricted accounts lose access to the platform until the issue is resolved.

3. Organizer responsibilities

An Organizer using SPION to create or publish an event agrees that they:

  • Are solely responsible for the accuracy of their event listing, and for actually delivering the event as described.
  • Will not use SPION to list an event that is illegal, fraudulent, or misleading.
  • Are responsible for complying with any laws, licenses, permits, or venue requirements applicable to their event.
  • Are responsible for handling attendee questions, disputes, and — where applicable — refunds for their own event.

SPION is a platform that facilitates event creation, ticketing, and payment collection. We are not the organizer of any event listed on SPION, and we are not a party to the relationship between an Organizer and their Attendees.

4. Publishing an event

Making an event live requires a one-time publishing fee, based on the event's ticket capacity. Once paid, the event can be published, unpublished, and republished freely for 6 months from the date the fee was paid — after which republishing requires paying the fee again. The publishing fee is non-refundable once paid, regardless of whether the event is later cancelled, unpublished, or never fully published.

Paid ticket sales are currently available to Organizers based in India. Organizers based outside India can create free, registration, or information-only events; paid ticket sales for international Organizers will be enabled once cross-border payout support is in place.

5. Fees, service fee, and taxes

For events that sell paid tickets, SPION charges:

  • A service fee on ticket revenue, deducted before payout to the Organizer. The rate is shown in your dashboard and may differ by country.
  • A platform fee, charged to the ticket buyer at checkout, in addition to the ticket price — this covers the cost of processing the payment.

For Organizers and transactions based in India, GST is charged on SPION's own fees (service fee, publishing fee, and the buyer's platform fee) at the applicable rate, and is shown separately on your invoice. Transactions for Organizers based outside India are treated as an export of services and are zero-rated for GST purposes. Fee rates and tax rates may be updated from time to time; the rate that applied at the time a charge was made is what appears on your invoice, regardless of later changes.

6. AI features and credits

SPION offers AI-assisted tools that help draft or improve event page content (an "About" section, highlights, an agenda, FAQs, and similar). These tools use AI credits — a limited number are granted free (on signup, on your first published event, and periodically for active accounts), and more can be purchased. Purchased credits are non-refundable and are not money: they can't be withdrawn, exchanged for cash, transferred to another account, or used for anything other than SPION's own AI features. AI-drafted content is a starting point, not a guarantee of accuracy. As with the rest of your event listing (see Section 3), you're responsible for reviewing and approving everything on your event page — including anything AI helped write — before it goes live.

7. Payments

Payments on SPION are processed by third-party payment gateways (currently Razorpay and/or Cashfree). We do not store your full card, UPI, or bank account details — those are handled directly by the payment gateway under their own security standards. Refunds are handled as described in our Refund & Cancellation Policy.

8. Prohibited use

You may not use SPION to:

  • List or promote an illegal event, product, or service.
  • Collect payment for an event you do not intend to hold.
  • Infringe on anyone else's intellectual property or impersonate another person or organization.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the platform.
  • Scrape, resell, or misuse attendee data collected through SPION.

9. Intellectual property

The SPION name, logo, and platform are the property of Inclusion Software Solutions. Organizers retain ownership of the content they upload (event descriptions, images, branding) and grant SPION a license to display it as part of operating their event page.

10. Limitation of liability

SPION provides the platform "as is." We are not liable for losses arising from an Organizer's failure to hold an event as described, deliver refunds, or comply with applicable law. To the extent permitted by law, our liability for any claim relating to the platform is limited to the fees you paid us in the 3 months before the claim arose.

11. Termination

We may suspend or terminate access to SPION for accounts that violate these terms. You may stop using SPION at any time; obligations that arose before termination (such as fees owed or refunds due to Attendees) survive termination.

12. Governing law

These terms are governed by the laws of India. Any dispute arising from these terms is subject to the exclusive jurisdiction of the courts in Punjab, India.

13. Changes to these terms

We may update these terms from time to time. Continued use of SPION after a change is posted means you accept the updated terms.
